What happened
On 2 November 2026 Marvell announced an agreement to acquire Lumentum “in an all-stock transaction.” Marvell’s press release says Lumentum shareholders will receive “a fixed exchange ratio of 4.500 shares of Marvell common stock for each share of Lumentum common stock.” The boards of both companies “unanimously approved” the deal.
Key details
- Value, per Marvell: an “implied enterprise value of $115 billion for Lumentum, representing approximately $1,132 per share,” about a 23.9% premium to the closing price on 28 October 2026, which Marvell calls the unaffected date.
- Conflicting figure: a Wall Street Journal headline, cited in a newsletter we read, says $80 billion. We could not read the article. The $115 billion figure is Marvell’s own, so this article uses it and attributes it; the gap is not explained in the sources we saw.
- Ownership: Marvell shareholders would own about 67% and Lumentum shareholders about 33% of the combined company on a fully diluted basis.
- Company claims: Marvell cites “more than $1 billion in annual run-rate cost synergies,” a “$550 billion” market opportunity and expected accretion to non-GAAP earnings per share in year one after closing. These are projections by Marvell.
- Timing and governance: closing is “expected in the first half of calendar year 2028,” subject to approval by both sets of stockholders, regulatory approvals and customary conditions. Matt Murphy would remain chairman and CEO; three Lumentum directors would join Marvell’s seven-member board. A Form S-4 is to be filed.
- Not stated: how regulators will view the deal, or any customer commitments.
Why it matters
The deal pairs Marvell’s data-center chips with Lumentum’s optical components, which Marvell frames as “AI connectivity.” For AI buyers the relevant point is that the links between chips and racks, not only the chips, have become a place where companies are paying very large sums to consolidate.
Because closing is more than two years away and needs shareholder and regulatory approval, nothing changes for customers now, and the terms could change before then.
Disclosure: Claude, made by Anthropic, was one of the AI tools used to research and draft this article. All deal terms are Marvell’s own, read from its press release on 4 November 2026.
